Requirements for a Hong Kong Private Limited Company

Company name
Your company name can be in English or Chinese, but not a combination of both.
Share capital
This is the initial capital shareholder(s) will contribute. The minimum requirement is HK$1 (except for regulated industries).
Directors & shareholders
Directors are not required to be shareholders. A Private Limited Company in HK can have up to 50 shareholders.
Registered address
You need a physical address in Hong Kong for official correspondence and legal purposes. A PO Box address is not allowed.
Company secretary

How long does the registration process take?

Once all the documents are ready, it usually takes us 1 business day to register a company. It mostly depends on when you are comfortable with providing all the details, as well as the service hours of the authorities.

Here’s what we need to proceed:

Can I register my company remotely?

You are not required to be physically present in Hong Kong to register your company. If you have an agency to help register your company, all you have to do is send them the required documents.

Depending on your banking solution, you may have to do in-person KYC verification. If you’re not able to come to Hong Kong for opening a bank account, let us know and we’ll take that into account.

What type of company will you incorporate?

The most common type of company for foreigners to incorporate in Hong Kong is a Private Limited Company. This is a limited liability company allowing 100% foreign ownership.

Other available business entities include: Public Limited Company, General or Limited Partnership, Sole Proprietorship. We can incorporate these type of companies too.

How to renew business registration in Hong Kong?

Renewing the Business Registration Certificate is something that companies in Hong Kong need to complete annually as part of being compliant with the Companies Ordinance.

One month before the Business Registration Certificate expires, the Inland Revenue Department will issue a demand notice. After the company has made the payment, that very demand notice will now act as a valid renewed Business Registration Certificate.

However, if the company does not receive the demand notice even one month past the expiry date, the company has to notify the Commissioner of the Inland Revenue Department. You can then head down to the Business Registration Office with your previous Business Registration Certificate to ask for a new demand note, or you can renew by post.

If the company still has not paid up the settlement amount after the expiry date, an additional HK$300 will be charged. Usually, the company secretary will settle these tasks on behalf of the company. Talk to us if you need help to take this administrative work off your plate.

What language is allowed when selecting a company name?

Your company can be registered with an English name, a Chinese name, or both. However, your company name must not be a mix of both English and Chinese letters. Additionally, if your company has an English name, it must end with the word "Limited". On the flip side, if your company name is in Chinese, the last word should bear the meaning of "Limited".

The Articles of Association serve as a key document outlining the framework and rules for the board's management of the company. This document is typically seen as a binding agreement between the company and its members, guiding their interactions and operations.
What happens after the company registration process?

Once your company has been registered, you can collect documents, including the Certificate of Incorporation and Business Registration Certificate. These documents will be issued in hard copy form or electronic form, depending on your application's mode of delivery.
